Terms of service

These Terms of Service ("Terms") constitute a legally binding agreement between GoVizly Displays, LLC, a California limited liability company ("GoVizly," "Company," "we," "us," or "our"), and any individual or entity ("Customer," "you," or "your") who accesses or uses the GoVizly website located at govizly.com, purchases products, or uses any related services (collectively, the "Services"). By accessing the Services, placing an order, or completing a purchase, Customer agrees to be bound by these Terms, the Privacy Policy, and all policies incorporated herein by reference. If you do not agree, do not use the Services.


1. Eligibility and Accounts

Customer represents and warrants that they are at least eighteen (18) years of age, or the applicable age of majority in their jurisdiction, whichever is greater, and have the legal capacity to enter into a binding contract. If you are purchasing on behalf of a business or legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

Customer is solely responsible for maintaining the confidentiality of all account credentials and for all activity conducted under their account. Customer agrees to notify GoVizly immediately of any unauthorized use of their account.


2. Orders, Proofs, and Approvals

All orders placed by Customer constitute offers to purchase and are subject to acceptance by Company at its sole discretion. An order is not accepted, and no contract is formed, until payment is received in full and any required digital proof has been reviewed and approved by Customer.

Digital Proofs. Proofs will be emailed to the address provided at checkout. Customer is solely responsible for monitoring their inbox, including spam and junk folders, and for responding in a timely manner. Failure to review or approve a proof in a timely manner may delay production. GoVizly shall not be liable for delays caused by Customer's failure to respond.

Customer Approval Responsibility. Customer is solely and exclusively responsible for verifying all content within an approved proof, including but not limited to: text, spelling, grammar, punctuation, names, dates, phone numbers, URLs, images, logos, colors, sizing, bleed, and layout. Approval of a proof constitutes Customer's final acceptance that all content is correct. GoVizly shall bear no responsibility or liability for any errors, omissions, or defects in a Customer-approved proof.

Order Finality. Once a proof is approved and an order has entered production, it may not be canceled, modified, or refunded, except as expressly provided in Section 7 (Returns, Refunds, and Reprints).


3. Artwork, Content, and Intellectual Property

Customer represents and warrants that they own all rights, title, and interest in, or have obtained valid, written, transferable licenses to, all artwork, logos, trademarks, photographs, designs, text, and other intellectual property submitted to GoVizly for production ("Customer Content").

Customer grants GoVizly a limited, non-exclusive, royalty-free license to reproduce, display, and use Customer Content solely for the purpose of fulfilling Customer's order.

Customer shall not submit content that is obscene, defamatory, unlawful, or that infringes the intellectual property rights, privacy rights, or publicity rights of any third party.

Indemnification for Intellectual Property. Customer shall indemnify, defend, and hold harmless GoVizly Displays, LLC and its officers, directors, managers, employees, agents, and affiliates from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses — including reasonable attorneys' fees — arising out of or relating to any alleged or actual infringement of any patent, copyright, trademark, trade secret, or other intellectual property or proprietary right based upon Customer Content.


4. Graphic Design Service

GoVizly offers an optional graphic design service for customers who require print-ready artwork created for their display, banner stand, or table cover ("Design Service"). The Design Service is governed by the following terms in addition to all other applicable provisions of these Terms.

Payment. Full payment is required before design work begins. No work will be commenced until payment is received in full.

What Is Included. The Design Service includes one (1) concept design per display, two (2) revision rounds, one (1) complimentary stock image per display selected from our partnered stock image library only, and delivery of a high-resolution print-ready PDF plus a source file (PSD, AI, or InDesign) upon artwork approval. Design files are delivered via email. GoVizly does not provide Canva, Figma, PowerPoint, or Word files.

Stock Image, Logo, and Font License and Restrictions. The complimentary stock image included in the Design Service is sourced from our partnered stock image library and is subject to that library's licensing terms. Any fonts and logos incorporated into the design are subject to their respective licensing terms. By accepting a design that incorporates a stock image, font, or logo, Customer agrees to the following restrictions:

  • Stock images, fonts, and logos may not be resold, redistributed, sublicensed, or transferred to any third party in any form.
  • Stock images may not be printed on any product, merchandise, or item that is intended for resale to Customer's own customers or end users.
  • The stock image is embedded in the final design as delivered and will not be provided by GoVizly separately in any other size, resolution, format, or as a standalone file.
  • Fonts used in the design are embedded in the final delivered files only. GoVizly does not provide font files separately. All text in the final source file will be converted to outlines, regardless of whether the font was supplied by Customer or sourced from GoVizly's standard font library. This means the text will no longer be editable as live text in the source file. Customer is responsible for obtaining the appropriate font license independently if they intend to use the font outside of the delivered design files.
  • Customer represents and warrants that any logos submitted to GoVizly for use in the design are owned by Customer or that Customer has the legal right to use them. GoVizly is not responsible for verifying logo ownership or licensing.
  • Customer is solely and exclusively responsible for any and all legal claims, liabilities, damages, costs, and expenses arising from any unauthorized or unlicensed use of any stock image, font, or logo included in or used in connection with the Design Service. GoVizly bears no responsibility or liability for Customer's misuse of any such assets.

Turnaround. The first draft will be delivered within one (1) business day of receiving all required files and a complete project brief. Each revision round may take up to one (1) business day after GoVizly receives the Customer's edit request. Design processing time is separate from display production and shipping timelines. The Design Service does not guarantee any display delivery date. Delivery dates are determined only after artwork is approved and a display order is placed with a shipping method selected at checkout.

Customer Responsibilities. Customer is responsible for providing all necessary brand assets, including logos, colors, fonts, copy, and any reference materials or design inspiration prior to commencement of design work. GoVizly does not source, download, or pull any images, logos, icons, or text from Customer's website, social media profiles, or any other online source. All assets must be provided directly by Customer as actual files. Text content must be submitted in Word (.doc or .docx) or PDF format. GoVizly is not responsible for any delays resulting from Customer's failure to provide the required files and content. Logo design and logo recreation are not included in the Design Service. If Customer's logo files are not print-ready, a separate quote will be required. If the project requires specific purchased fonts or licensed images, Customer is responsible for purchasing and providing those files directly to GoVizly.

File Quality. GoVizly will work with the files provided by Customer but cannot guarantee sharpness or print quality for low-resolution assets. GoVizly will flag any quality concerns before finalizing the design. GoVizly is not responsible for print quality issues resulting from Customer-supplied low-resolution assets.

Revisions. Revisions are defined as edits made to the approved concept design. Requesting a completely different layout or creative direction constitutes a new concept design and will require a separate quote. Additional revision rounds beyond the two (2) included are available at $35 per revision round. Payment for each additional revision round must be received in full before GoVizly will commence work on or deliver the revised proof. Additional revision fees will be invoiced separately via a Shopify payment link sent to the email address on file. The original order will not be modified.

Design Approval and Production. Customer is solely responsible for reviewing and approving all design proofs before production begins. Approval of a design proof constitutes Customer's final acceptance of all content, layout, colors, and design elements. Once artwork is approved, Customer will purchase the display product separately and select a shipping method and delivery date at that time.

Abandoned Projects. If Customer fails to respond to a design proof, revision request, or any communication from GoVizly regarding the Design Service for thirty (30) or more consecutive calendar days, the project will be considered abandoned. No refund will be issued for abandoned projects. GoVizly reserves the right to close the project and release all associated files after the abandonment period. Should Customer wish to resume the project after it has been closed, a new Design Service fee will be required.

No Refunds. Refunds are not available once design work has commenced, regardless of whether the Customer proceeds to place a print order. If Customer has not provided sufficient creative direction and is dissatisfied with the design direction chosen by GoVizly, no refund will be issued. GoVizly strongly encourages Customers to provide reference images, brand guidelines, and examples of preferred styles before work begins.

No Delivery Date Guarantee. Purchasing the Design Service does not reserve, hold, or guarantee any display delivery date. Delivery dates are determined solely at the time a display order is placed and a shipping method is selected at checkout, after artwork has been approved. GoVizly is not responsible for missed deadlines, trade show events, or any other time-sensitive commitments resulting from the time required to complete the Design Service, including revision rounds.

Intellectual Property. Upon full payment and final approval of the design, GoVizly grants Customer a license to use the approved artwork in connection with GoVizly-printed products. For designs where GoVizly contributes original creative elements beyond Customer-supplied assets, GoVizly retains all underlying intellectual property rights in such original elements.


5. Pricing and Payment

All prices are displayed in U.S. Dollars (USD). Applicable taxes, shipping, handling, and any other fees are in addition to the listed product price unless expressly stated otherwise at checkout.

Sales Tax. GoVizly is required to collect applicable sales tax on orders where required by law. Sales tax, if applicable, will be calculated and displayed at checkout based on the delivery address provided by Customer. Customer is responsible for any additional taxes, duties, or fees imposed by their local jurisdiction that are not collected by GoVizly at checkout.

Payment in full is required before production will commence. GoVizly accepts payment methods made available through the Shopify checkout platform. GoVizly reserves the right to correct any pricing errors or inaccuracies at any time, even after an order is submitted, and reserves the right to cancel or refuse any order placed at an incorrect price.

GoVizly reserves the right to modify pricing at any time without prior notice.


6. Production, Shipping, and Delivery

Production commences only after both full payment and Customer's final written proof approval have been received.

Ship Date Estimates. An estimated ship date is provided only when both of the following conditions are met on the same business day: (a) the order is placed and full payment received by 12:00 PM Pacific Time (PT), and (b) written proof approval is received by 3:00 PM Pacific Time (PT) on the same day. Orders submitted on weekends or recognized holidays will begin processing on the next business day. Delay in proof approval, incomplete artwork submission, or order issues may affect the estimated ship date, and GoVizly shall have no liability in such circumstances.

Delivery Estimates. All shipping and delivery dates provided by GoVizly are estimates only and do not constitute a guarantee of delivery by a specific date. Delivery timelines depend on the shipping method selected at checkout and the Customer's shipping destination. GoVizly reserves the right to extend delivery timelines in the event of technical issues, system outages, production errors, or circumstances beyond its operational control. In such cases, GoVizly's sole liability shall be limited to a refund of shipping fees paid.

Carrier and Risk of Loss. Title to products and risk of loss pass to Customer upon tender of the order to the carrier. GoVizly is not responsible for delays, damage, loss, or mis-delivery caused by the shipping carrier, weather, governmental actions, customs, or other circumstances beyond GoVizly's control.

Expedited Shipping. Selection of an expedited shipping method reduces transit time only and does not accelerate production schedules. Both rush production and expedited shipping options must be selected to receive the earliest possible delivery date.

Consequential Loss. GoVizly is not responsible for any loss of revenue, lost profits, missed business opportunities, event cancellations, or any other direct, indirect, or consequential losses resulting from production or shipping delays, regardless of the cause.


7. Returns, Refunds, and Reprints

All products are custom-manufactured to Customer specifications. Accordingly, all sales are final, and GoVizly does not accept returns or issue refunds except where the error is solely and verifiably attributable to GoVizly.

GoVizly Production Errors. If GoVizly makes a verifiable production or printing error — meaning the finished product materially deviates from the Customer-approved proof through no fault of the Customer — GoVizly's sole and exclusive obligation shall be, at its sole discretion, to either: (a) reprint the affected product to match the original approved proof specifications, or (b) issue a partial or full refund not to exceed the amount paid for the defective portion of the order.

Claim Requirements. Claims must be submitted in writing to GoVizly within seven (7) calendar days of confirmed delivery, and must include clear photographic documentation of the alleged defect. Claims submitted after this period shall be deemed waived and GoVizly shall have no further obligation.

Reprints. Any approved reprint will match the original approved proof specifications only. Customer-requested changes to artwork, size, color, or other specifications are not permitted in connection with a reprint.

Customer-Error Orders. GoVizly is not responsible for errors approved by Customer in the proof, including but not limited to misspellings, incorrect sizing, wrong colors, or missing elements. No refunds or reprints will be issued for Customer-error orders.


8. Color Reproduction and Variations

Customer acknowledges and agrees that exact color matching cannot be guaranteed. Due to variations inherent in printing substrates, inks, production equipment, and differences between digital screen displays and physical print output, minor color, tone, or finish variations may occur. GoVizly disclaims all liability for variations that are within commercially reasonable tolerances.

If color accuracy is critical to your order, Customer is encouraged to contact GoVizly prior to placing an order to discuss available options.


9. Use of Services; Prohibited Conduct

Customer agrees to use the Services only for lawful purposes and in compliance with all applicable local, state, federal, and international laws and regulations. Customer agrees not to:

  • Submit content that is defamatory, obscene, harassing, threatening, unlawful, or that infringes third-party rights;
  • Engage in any fraudulent, deceptive, or abusive conduct in connection with the Services;
  • Attempt to interfere with, compromise, or circumvent the security or integrity of the Services;
  • Use automated tools, bots, scrapers, or similar means to access or collect data from the Services without prior written authorization from GoVizly; or
  • Reverse engineer, decompile, or disassemble any aspect of the Services.

10. Relationship with Shopify

GoVizly's online store is hosted and operated on the Shopify platform. All sales and purchases are made directly between Customer and GoVizly Displays, LLC. Shopify is not a party to any transaction and bears no responsibility for any products purchased from GoVizly, or for any injury, damage, or loss resulting therefrom. By using the Services, Customer expressly releases Shopify, Inc. and its affiliates, directors, officers, and employees from any and all claims, damages, and liabilities arising from or related to Customer's purchases or use of GoVizly's Services.


11. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, GOVIZLY PROVIDES THE SERVICES AND ALL PRODUCTS ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT REPRESENTATION OR WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOVIZLY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you to the extent prohibited by applicable law.


12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOVIZLY DISPLAYS, LLC OR ITS OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE TO CUSTOMER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY NATURE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOST DATA, LOSS OF GOODWILL, EVENT CANCELLATIONS, OR PERSONAL INJURY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOVIZLY'S TOTAL AGGREGATE LIABILITY TO CUSTOMER FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ORDER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.


13. Indemnification

Customer shall indemnify, defend (at GoVizly's option), and hold harmless GoVizly Displays, LLC and its managers, officers, directors, employees, agents, successors, and assigns — as well as Shopify, Inc. and its affiliates — from and against any and all losses, liabilities, claims, demands, damages, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or related to:

  • Customer's breach of any representation, warranty, or obligation under these Terms;
  • Customer's misuse of the Services or any GoVizly product;
  • Any claim that Customer Content infringes the rights of any third party; or
  • Customer's violation of any applicable law or regulation.

14. Dispute Resolution and Binding Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms, any GoVizly product, or the Services — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved exclusively by binding individual arbitration administered in Riverside County, California, in accordance with the applicable rules of the American Arbitration Association (AAA), except as otherwise provided herein.

Class Action Waiver. CUSTOMER EXPRESSLY WAIVES ANY RIGHT TO A TRIAL BY JURY AND ANY RIGHT TO PARTICIPATE IN, OR BRING, A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING.

Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual claim in small claims court in Riverside County, California, provided the claim qualifies and remains in small claims court.

Opt-Out. You may opt out of this arbitration agreement by sending written notice to GoVizly at the contact address below within thirty (30) days of first using the Services. Opting out does not affect any other provision of these Terms.


15. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. To the extent any claim is not subject to arbitration under Section 14, Customer consents to the exclusive jurisdiction of the state and federal courts located in Riverside County, California, and waives any objection to venue or jurisdiction in such courts.


16. Force Majeure

GoVizly shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, epidemic, pandemic, labor strikes or shortages, transportation disruptions, supply chain failures, governmental actions or restrictions, war, terrorism, civil unrest, or failures of telecommunications or utility infrastructure. GoVizly will use commercially reasonable efforts to resume performance as soon as practicable.


17. Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall remain in full force and effect.


18. Entire Agreement; No Waiver

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between Customer and GoVizly Displays, LLC with respect to the subject matter herein, and supersede all prior and contemporaneous agreements, representations, and understandings. No waiver by GoVizly of any breach or provision shall be deemed a waiver of any subsequent breach or of any other provision. GoVizly's failure to enforce any right or provision shall not constitute a waiver of that right or provision.


19. Website Accessibility

GoVizly is committed to making its website accessible to all users, including individuals with disabilities, in compliance with applicable law. We will make reasonable efforts to provide the information or service you seek through an alternative means of access.


20. Changes to These Terms

GoVizly reserves the right, at its sole discretion, to modify or replace these Terms at any time. When changes are made, the "Last Updated" date at the top of this page will be revised. Updated Terms are effective immediately upon posting. Customer's continued use of the Services following the posting of updated Terms constitutes acceptance of those changes. If you do not agree to the updated Terms, you must discontinue use of the Services.
